1. Definitions and Identification

These Terms of Service ("Terms") govern your access to and use of the services offered by:

Use of the VYDA Services implies full acceptance of these Terms.

2. Description of the Service

VYDA offers an integrated system consisting of:

  • VYDA Bracelet: wearable hardware device for monitoring biometric parameters.
  • VYDA App: Free companion mobile application for viewing and managing data collected by the device.
  • AI Coach: Artificial intelligence system integrated into the app for personalized fitness and wellness advice.
  • Cloud Platform: for the synchronization and secure storage of biometric data.

Important Note: The VYDA app is a companion application that requires the VYDA Bracelet hardware device to function. The app alone does not provide any functionality without the physical device.

3. Registration and Account

To access the Services you must:

  • Be at least 18 years of age or have the consent of a legal guardian.
  • Please provide accurate and complete information when registering.
  • Maintain the confidentiality of your login credentials.
  • Report any unauthorized use of your account immediately.

You are responsible for all activities that occur under your account.

4. Hardware Device and Purchase Plans

VYDA offers the VYDA Bracelet hardware device with several purchase options:

  • Single Purchase: one-time payment for the hardware device (€299-399) with lifetime access to the companion app.
  • Monthly Plan: monthly subscription (€19.99/month) which includes the hardware device on loan.

IMPORTANT: Free Companion App

The VYDA app is a free companion application that requires the hardware device to function. There are no charges for digital features or content in the app. The subscription or purchase only covers the hardware device and the associated biometric tracking service.

General conditions:

  • The VYDA Bracelet device is required to use the app.
  • The monthly subscription renews automatically upon expiration.
  • Payments are processed via secure payment methods on the site vyda.eu.
  • You can cancel your monthly subscription after a minimum of 3 months.
  • For a one-time purchase, access to the app is guaranteed for life without renewal.

For monthly subscriptions: Cancellation will be effective at the end of the current billing period. The loaned device must be returned within 30 days of cancellation. Refunds are not available for partial periods.

Minimum monthly subscription requirement: The monthly plan requires a minimum stay of 3 (three) months from the date of service activation. In the event of a cancellation or early termination request before the minimum term, an administrative penalty of €79,00. After the minimum 3-month period, the subscription can be freely cancelled according to the methods indicated above.

5.Using the Device

The user undertakes to:

  • Use the device according to the instructions provided.
  • Do not attempt to disassemble, modify or repair the device yourself.
  • Keep your device clean and in good condition.
  • Do not use the device in unsuitable environments (extreme temperatures, chemicals).

6. Medical Limitations

IMPORTANT NOTICE

VYDA is not a diagnostic medical device. The data and information provided are for informational and general wellness purposes only. They do not replace professional medical advice, diagnosis, or treatment.

You acknowledge that:

  • VYDA is not intended to diagnose, treat, cure, or prevent any disease.
  • In case of a medical emergency, you should contact emergency services.
  • Biometric data may vary and do not represent clinical measurements.
  • AI Coach recommendations are general fitness and wellness tips, not medical prescriptions.

6.1 Warnings (EN)

VYDA is a consumer wellness device designed to monitor physical activity, sleep, and overall wellness. VYDA is not a medical device and is not intended to diagnose, treat, prevent, mitigate, or manage any disease or medical condition.

All data, measurements, and outputs provided by VYDA are intended for informational and wellness purposes only. They should not be used for diagnosis, medical decisions, or as a substitute for the advice of a qualified healthcare professional.

If you have any medical conditions, are experiencing symptoms, or are taking any medications or therapies, always consult a physician or other qualified healthcare provider before relying on any data provided by VYDA.

VYDA is a consumer wellness product subject to consumer protection legislation, but does not fall within the definition of a medical device under Regulation (EU) 2017/745 (MDR).

The measurements provided by VYDA are estimates and may be subject to error. Parameters such as SpO₂, blood pressure, and heart rate are approximate and are not validated for medical or diagnostic use.

VYDA is not a substitute for clinically validated medical devices or monitoring tools used in healthcare. Always consult a qualified healthcare professional for any health-related decisions.

Detection of any anomalies is not guaranteed. In case of emergency or critical situations, immediately call the single emergency number 112. VYDA does not replace emergency services or emergency medical systems.

The manufacturer is not responsible for any medical consequences resulting from the use of VYDA or reliance on its data. The user assumes full responsibility for decisions made based on the information provided by VYDA.

6.2 Warnings (EN)

The detection of anomalies is not guaranteed. In case of emergency or critical situations, immediately contact your local emergency services (e.g. , 112 in the EU). VYDA does not replace emergency medical services or systems.

The manufacturer shall not be held liable for any medical consequences arising from the use of VYDA or from reliance on its data. The user assumes full responsibility for any decisions made based on the information provided by VYDA.

7. Intellectual Property

All intellectual property rights relating to the Services, including but not limited to:

  • Software and algorithms.
  • Product and interface design.
  • Brands and logos.
  • Contents and documentation.

They are the exclusive property of VYDA SPA and are protected by Italian and international intellectual property laws.

8. Limitation of Liability

VYDA SPA will not be responsible for:

  • Indirect, incidental, special or consequential damages.
  • Data loss or business interruption.
  • Decisions made based on data provided by the Service.
  • Malfunctions caused by improper use of the device.

VYDA SPA's maximum liability is limited to the amount paid by you in the previous 12 months.

9. Product Warranty

The VYDA Bracelet device is covered by a 24-month legal warranty from the date of delivery. The warranty covers:

  • Manufacturing defects.
  • Hardware malfunctions not caused by the user.

The warranty does not cover:

  • Damage caused by misuse, falls or accidents.
  • Normal wear and tear on the device and strap.
  • Damage caused by unauthorized repairs.

10. Withdrawal

Pursuant to the Consumer Code (D.Lgs. 206/2005), the consumer user has the right to withdraw from the contract within 14 days of receiving the product, without having to provide any reason.

To exercise the right of withdrawal, it is necessary to send a communication to vydaspa@pec.it before the withdrawal period expires.

11. Changes to the Terms

VYDA SPA reserves the right to modify these Terms at any time. Changes will be communicated via email or in-app notification. Your continued use of the Service after notification constitutes acceptance of the new Terms.

12. Applicable Law and Jurisdiction

These Terms are governed by Italian law. Any disputes will be subject to the exclusive jurisdiction of the Court of Milan, unless otherwise provided by mandatory law in favor of the consumer.
